Adalberto Calil, holds a law degree from Pontifícia Universidade Católica de São Paulo in 1973. He is a founding partner of the law firm Radi, Calil e Associados, where he has practiced since 1974 with a focus on corporate and tax law. He has served as a legal adviser to companies in various industries, including the chemical, paper, forestry, transportation and logistics, ceramics, metallurgy, port and hospital industries. He was a member of the Board of Directors of Satipel Industrial S/A from April 2006 through April 2008. He has been a member of the Board of Directors of the privately-held company Píer Mauá S/A since 2006. He is currently the Chairman of the Company‘s Board of Directors.

Fernando Antonio Simões Filho, has a bachelor’s degree in Law from UMC, certifications in Holistic Science and Economics for Transition from Schumacher College and an international certification in Social Entrepreneurship from ESPM and Yunus Social Business. He also has an MBA from the Dom Cabral Foundation and completed a course on Board of Directors at the Brazilian Institute of Corporate Governance (IBGC). He worked for 10 years in the operational and corporate areas of SIMPAR S.A. (former JSL S.A.). He is currently a managing partner in Bemtevi Investimento Social, a member of the Advisory Board of Black Jaguar Foundation, a member of the Decision-Making Board of Sistema B Brasil, and a member of the Board of Directors of SIMPAR S.A. Additionally, he heads the 5 Sustainability Committees of the Group companies.

Fernando Antonio Simões, has been working at the Company for 40 years and is the CEO of SIMPAR, a publicly held holding company listed on B3 that controls Movida, JSL, Vamos, Automob, CS Brasil, CS Infra and BBC Digital Bank. He is the chairman of the board of directors of JSL, Movida and Vamos (the 3 publicly held companies of the group) and a member of the board of directors of SIMPAR. Serving the Company since he was 14, the executive has dedicated himself to expand the business founded by his father, Julio Simões, in 1956. Between the 1990s and the 2000s, Mr. Simões comanaged the Company alongside his father and led the process of diversifying its operations and logistics services and later the IPO of JSL, in 2010.
Continuing this transformation process, the executive structured the Company in business units and later in independent companies. Then, he led the corporate reorganization that simplified the group’s structure under a management model with SIMPAR as a holding company and the controller of the companies with fully independent management and operations, in line with his management model. As part of this process led by the executive and carried out by more than 36,000 employees of the group, Simpar has been expanding greatly in the segments of mobility, infrastructure and sanitation – sectors that are essential and present in the real economy – and providing financial products and services, consolidating it as one of Brazil’s largest corporate groups. These represent our culture and values fostering the group’s development.

Augusto Marques da Cruz Filho holds a degree in Economics from FEA-USP and a postgraduate degree from the Institute of Economic Research, with further specialization at the Institut Européen d’Administration des Affaires. He previously served as Chief Executive Officer of Grupo Pão de Açúcar (Food Retail Sector) and as Administrative and Financial Officer of Bunge’s Mining and Chemicals division. He has also served on the Boards of Directors of Arafértil Fertilizantes S.A. (fertilizers), Grupo Pão de Açúcar, and B2W (Submarino.com and Americanas.com), on the Advisory Board of Santa Bárbara Engenharia, as Chairman of the Board of Directors of BR Distribuidora (Petrobras Distribuidora S.A., Brazil’s largest fuel and lubricants retailer) and member of the Board of Directors of BRF S.A. (food sector), where he also served as Coordinator of the Audit and Integrity Committee and as a member of the Finance and Risk Committee. Currently, Mr. Augusto is a member of the Board of Directors of General Shopping S.A. (shopping center sector), partner at MC&F Consultoria Financeira Ltda. (financial consulting firm), member of the Board of Directors of SIMPAR S.A., and independent member of the Board of Directors of Movida Participações S.A., where he serves as Coordinator of the Statutory Audit Committee and as a member of the Finance Committee.

Alvaro Pereira Novis, holds a bachelor’s degree in Economics from the Rio de Janeiro University and a bachelor’s degree in Public Administration from the Getulio Vargas Foundation. He worked at BankBoston for 15 years (1966/1980), where he became vice president of the bank’s national division in Brazil. He was a director at Banco Iochpe de Investimentos for 8 years. He worked at the Odebrecht Organization from 1992 to 2008, where his last position held was CFO of the holding. He served as member of the Board of Directors of: Braskem, ETH Bioenergia S.A., Foz do Brasil S.A., Odebrecht Óleo & Gás and Banco Caixa Geral de Depósitos Brasil. He was vice president of the Board of Directors of Odeprev-Odebrecht Previdência Privada for 10 years. He was vice president of the American Chamber of Commerce (AmCham Brazil) from 2008 to 2015. In 2008, he became partner at Valora Gestão de Investimentos Ltda. Mr. Novis has been working as an independent member of the Board of Directors of JSL S.A. and a coordinator of its Financial Committee since 2010. On May 22, 2019, he was elected member of the Audit Committee of Movida Participações S.A. (subsidiary of the Company).

Paulo Sergio Kakinoff was CEO of Gol Linhas Aéreas Inteligentes S.A. from July 2012 to July 2022, having been an independent member of the Board of Directors from January 2010 to July 2, 2012, when he left his position on the Board of Directors to assume the position of Gol’s CEO. He was CEO of Audi Brasil until June 2012 and worked in the automotive industry for 18 years, having previously held the positions of Director of Sales & Marketing at Volkswagen do Brazil and Executive Director for South America at the headquarters of the Volkswagen Group in Germany. He has a degree in Business Management from Universidade Mackenzie, he held the position of Vice President of the Brazilian Association of Motor Vehicle Importing Companies (ABEIVA – Associação Brasileira das Empresas Importadoras de Veículos Automotores) and member of the Board of Volkswagen Participações until June 2012. He became Independent Board Member of SIMPAR in April 2023 and he is member of the Company’s People and Culture Committee.

Marcio Bernardo Spata is an accountant graduated from UERJ, with an MBA in Finance from IBMEC and CGA, CGE, and CFG certifications issued by ANBIMA. He worked as an Accountant at IBGE and as an Officer in the Brazilian Air Force and the Brazilian Navy, both in the Complementary Corps of Intendants. At BNDES since 2004, he has built a long executive career at BNDESPAR, starting as Manager of the Investment Funds Department, later serving as Head of the Department for Monitoring the Portfolio of Private Companies, and subsequently reaching the position of Superintendent of the Entrepreneurial Capital Division (2016) and the Capital Markets Division (2019). After a period in the Structuring and Divestments Division, he returned to BNDESPAR in 2023 as Head of the Department for Monitoring the Portfolio of Public Companies, a position he currently holds. He has extensive experience both as a member of Boards of Directors and Advisory Committees of companies invested by BNDESPAR, as well as in Investment Committees of funds in which BNDESPAR has invested.
