Fernando Antonio Simões has been working at the Company for 40 years and is the CEO of SIMPAR, a publicly held holding company listed on B3 that controls Movida, JSL, Vamos, Automob, CS Brasil, CS Infra and BBC Digital Bank. He is the chairman of the board of directors of JSL, Movida and Vamos (the 3 publicly held companies of the group) and a member of the board of directors of SIMPAR. Serving the Company since he was 14, the executive has dedicated himself to expand the business founded by his father, Julio Simões, in 1956. Between the 1990s and the 2000s, Mr. Simões comanaged the Company alongside his father and led the process of diversifying its operations and logistics services and later the IPO of JSL, in 2010.
Continuing this transformation process, the executive structured the Company in business units and later in independent companies. Then, he led the corporate reorganization that simplified the group’s structure under a management model with SIMPAR as a holding company and the controller of the companies with fully independent management and operations, in line with his management model. As part of this process led by the executive and carried out by more than 36,000 employees of the group, Simpar has been expanding greatly in the segments of mobility, infrastructure and sanitation – sectors that are essential and present in the real economy – and providing financial products and services, consolidating it as one of Brazil’s largest corporate groups. These represent our culture and values fostering the group’s development.

Denys Marc Ferrez, joined the company as an executive director in May 2008. He holds a bachelor‘s degree in business administration and a graduate degree in corporate finance. He worked as an investor relations officer at Redecard in 2008. Previously, he worked for 10 years in the treasury and investor relations department at Aracruz and for five years at PricewaterhouseCoopers. Joined the Company in 2008 as the Chief Financial and Administrative Officer. Since 2018, he has also been serving as the Executive Vice President of Corporate Finance and Investor Relations Officer.

Ms. Juliana Baiardi holds a degree in Civil Engineering from the Federal University of Bahia and an MBA from Columbia Business School in New York. Ms. Juliana Baiardi worked at Dresdner Bank in Brazil in the Project Finance sector from 1997 to 1999. She also worked for 10 years at JP Morgan in the areas of Investment Banking in Latin America and Private Equity. Ms. Juliana Baiardi joined the Novonor Group in August 2011 and served as Logistics Director of OTP from August 2011 to February 2016, Chief Financial Officer of Odebrecht Ambiental from February 2016 to September 2016, Chief Executive Officer of Odebrecht Ambiental from September 2016 to April 2017, Chief Executive Officer of OTP from May 2017 to May 2019, and Chief Executive Officer of Atvos from May 2019 to February 2021. From April 2021 to June 2022, she was an advisor to the president of Novonor, and from June 2022 to October 2023, she was Business Leader-Participations at Novonor. Additionally, Ms. Juliana is a board member of Braskem S.A. and was vice-chairman of the Board of Directors of Odebrecht Engenharia e Construção from October 2019 to June 2022. Ms. Juliana Baiardi joined the SIMPAR Group on October 2, 2024, and was elected Director of the Company on November 7, 2024.

Mr. Victor Mizusaki has over 20 years of experience in the Brazilian and international financial markets. In the financial sector, Victor has built a solid career in Equity Research and Corporate & Investment Banking at financial institutions in Brazil and abroad. Throughout his career, he has participated in numerous equity offerings in Brazil, Mexico, and Colombia. He has been consistently elected by institutional investors in Brazil, the United States, Europe, and Asia as a Top-3 equity research analyst for the Transportation and Capital Goods sectors in Brazil and Latin America. Since April 2025, he has served as Investor Relations Director at SIMPAR, also serving as a guest member of the Boards of Directors of SIMPAR, MOVIDA, VAMOS, JSL, and AUTOMOB, in addition to coordinating the IR teams of these companies. Previously, he built his career in leadership positions at Bradesco BBI (Managing Director, 2014–2025), where he was Deputy Head of Research and Head of coverage for the Transportation and Capital Goods sectors in Latin America. Victor was also responsible for the internship program, new talent recruitment program, and the Research Challenge. Prior to Bradesco BBI, Victor worked at UBS Investment Bank and Itaú BBA/Unibanco. Victor is a PhD candidate in Finance at EAESP-FGV, holds a Master’s degree in Business Administration with a focus on Sustainability from EAESP-FGV, an MBA from Insper, and a Bachelor’s degree in Economics from FEA-USP, along with extension courses at University College Dublin and Columbia Business School.
